    Corus debt ratings put on review, direction uncertain - Moody's

    LONDON (AFX) - Moody's Investors Services said it placed all the ratings of the Corus group under review, with the direction uncertain, after Corus recommended Tata Steel Ltd's bid.

    The review will focus on the capital structure supporting the acquisition, an assessment of the fundamental credit characteristics of the combined business, new shareholders' plans and business strategy for Corus, and the medium-term operating and financial outlook.

    Additional factors being considered include the financial and economic rationale underpinning the acquisition, integration risks and possible synergies, the new company's consolidated position in its markets, as well as the financial policy of the new shareholders.

    If the bondholders exercise the put option or the bonds are tendered for above par as part of a refinancing, Moody's is likely to withdraw the ratings for the bonds.

    Similarly, a refinancing of the rated bank loans would also result in a likely withdrawal of the ratings for the credit facilities.

    Currently, Moody's has a Ba2 corporate family rating on Corus.

    Tata vs Mittal: the new battle ground

    Even though Mittal's silence has surprised several analysts, the buzz is that there may be dejection in the LN Mittal group over how cheap the deal got through and with such ease and consent in the political corridors.

    Ratan Tata though has been quick to point out, he is not competing with Arcelor Mittal. Interestingly when Mittal acquired Arcelor, Tata had said that promoters would be increased in Tata Steel to ward off hostile takeover bids.

    However, the Tata Mittal stories though widely different, is now ruffling some feathers. Especially since Mittals buyout of Arcelor had more than its share of controversies.

    The British government was quite pragmatic about Tata bid and for many days helped it keep under wrap.

    In contrast, Mittal Arcelor buyout caused a European backlash over racism and blew over into a controversial issue.

    One key difference, which seems to have swung the deal for the Tatas is that the Corus was a negotiated deal unlike the hostile takeover done by Mittals.

    Tata's labour relations policies have often been superior to prevailing legal standards. However, in case of Mittal, corporate governance and labour norms were key issues.

    Having seen how the Mittal and Tata stories pan out, international companies are steeling up defenses. Nippon Steel and Posco plan to increase crossholdings to $900 million.

    Defenses go up

    Nippon Steel will buy about two per cent of Posco's and Posco will raise its stake in Nippon to 3.81 per cent.

    JFE, the second-biggest Japanese steel maker, will raise its stake in Dongkuk to as much as 15 per cent from 4.09 per cent.

    However, for now Ratan Tata's strategy lies for everyone to see to hit not when the iron is hot but when the iron is cold.
