(“GTC”) determined to make a cash payment in lieu of a 5% increase in salary from January 2, 2006 through August 31, 2006 and to approve a 5% increase in the salaries of executive officers effective as of September 1, 2006. The Compensation Committee had previously deferred any 2006 salary increases for GTC’s executive officers and instead authorized future cash payments to each of them equal to 5% of the executive officers’ respective base salaries if GTC had a specified minimum cash balance at the end of fiscal 2006. The Compensation Committee approved these payments and salary increases in light of the European Commission’s August 2006 approval of ATryn® as a treatment for hereditary antithrombin deficiency and the successful completion of GTC’s registered direct offering in July 2006, which the Committee determined would be sufficient to satisfy its requirement of a specified minimum cash balance at the end of fiscal 2006.

    The Compensation Committee also made an equity award of 1,000 shares of GTC Common Stock to each of 136 GTC employees, including the named executive officers, in recognition of the Company’s successful effort for ATryn approval. The shares of GTC Common Stock were fully vested and valued at $1.23 per share, the closing price on August 10, 2006. Certain employees chose to have a portion of the bonus shares withheld by the Company to satisfy tax withholding requirements.

    aandeel is op z'n elan doorgaan naar toppen van 90+, om daaarna te splitsten in vier, en huidig 20.5€,
    werknemers lachen in het vuistje!!!!!
    en dit is nog maar €uropa
    wat een groeiaandeel allemaal kan teweeg brengen

    Het is toch te gek voor woorden dat er een bonus en salarisverhoging wordt gegeven voor het uitgeven van meer aandelen. Een bonus zou moeten worden gegeven voor het verhogen van aandeelhouderswaarde.

    Suit Against Genzyme Gets Major Boost

    Aug. 17--A federal judge has given former shareholders of Genzyme's Corp.'s Biosurgery Division a major legal victory by ruling that their case against Genzyme can go forward.
    In a written ruling this month, the judge also said that if the shareholders' claims are true, the Cambridge company intentionally manipulated the price of Biosurgery shares, which traded under the symbol GZBX, so it could trade them for Genzyme shares at an advantageous rate. Genzyme used the value of the Biosurgery shares over a 20-day pricing period to set the price for the share exchange.
    Chief executive Henri Termeer and the other Genzyme directors "managed corporate earnings and systematically withheld positive information about the Biosurgery Division from the market with the express intention of artificially depressing the price of GZBX, to bias the ratio at which the stock would be exchanged" for Genzyme shares, wrote US District Judge Louis L. Stanton of the Southern District of New York.
    According to the plaintiffs, Stanton wrote, Genzyme timed the disclosure of the share exchange to limit the impact of favorable news from the biosurgery division during the 20-day pricing period. As a result, Genzyme Biosurgery shareholders were "substantially underpaid," he said.
    Stanton also noted that when defendants seek a motion to dismiss a case, as Termeer and the other Genzyme defendants did, a judge must accept the factual allegations of the plaintiffs as true. His ruling and comments are based on that assumption, and are not findings of fact. Presumably, the allegations will be contested by Genzyme should the case go to trial.
    The company declined to comment on the judge's ruling.

    Kan iemand vertellen wat er aan de hand is??

    Zag net 100.000 stuks op 1.25 en de aantallen zijn groter dan normaal. Ook de bied en de laat!

    Daarnaast zie ik in de consensus van ABNAMRO dat er vorige week twee analisten GTCB op kopen hadden staan en nu 1 op kopen en 1 op houden!

    De Ingang van punt 1.01 in Materiële Definitieve Overeenkomst. Op 10 Augustus..2006, het Comité van de Compensatie van de Raad van beheer (Het "Comité van de Compensatie") van GTC Biotherapeutics, bepaalde Inc. ("GTC") om een contant geldbetaling in plaats van een 5% verhoging van salaris vanaf 2 Januari..2006 te verrichten door 31 Augustus..2006 en een 5% verhoging van de salarissen van uitvoerende ambtenaren goed te keuren efficiënt vanaf 1 September, 2006. Het Comité van de Compensatie had eerder om het even welke het salarisverhogingen van 2006 voor de uitvoerende ambtenaren van GTC en in plaats daarvan gemachtigde toekomstige contant geldbetalingen aan elk van hen gelijk aan 5% van de respectieve de basissalarissen uitgesteld van de uitvoerende ambtenaren als GTC een gespecificeerd minimumcontant geldsaldo aan het eind van fiscale 2006 had. Het Comité van de Compensatie keurde deze betalingen en salarisverhogingen gezien de goedkeuring van Augustus 2006 van de Europese Commissie van ATryn® als behandeling voor erfelijke antithrombin deficiëntie en succesvolle voltooiing van het geregistreerde directe aanbieden van GTC in Juli 2006 goed, die het bepaalde Comité zou volstaan om aan zijn vereiste van een gespecificeerd minimumcontant geldsaldo aan het eind van fiscale 2006 te voldoen. Het Comité van de Compensatie maakte ook een gelijkheidstoekenning van 1.000 aandelen van Gewone aandelen GTC aan elk van 136 werknemers GTC, met inbegrip van de genoemde uitvoerende ambtenaren, in erkenning van de succesvolle inspanning van het Bedrijf ter goedkeuring ATryn. De aandelen van Gewone aandelen GTC volledig bekleed=werden= en werden getaxeerd bij $1,23 per aandeel, de sluitkoers op 10 Augustus 2006, Bepaalde werknemers verkozen om een gedeelte bonusaandelen te hebben die door het Bedrijf worden ingehouden belastings aan inhoudende vereisten te voldoen. Voeg GTCB aan het Vastgestelde Alarm van de Portefeuille toe
