    What it is:

    A shelf offering is a sale of stock by a company over time.
    How it works (Example):

    Let's say Company XYZ is a public company and would like to sell shares in order to raise money to build a new factory. The company already has some Series A common stock outstanding; this new offering would be of Series B common stock that carries a different dividend. Company XYZ wants to sell 1 million shares of the stock, but it doesn't need the money all at once, so it files a shelf offering with the SEC under Rule 415 of Regulation C of the Securities Act of 1933.

    Company XYZ hires an investment bank to underwrite the offering, register it with the SEC and handle the sale. The company receives the proceeds from the sale of the shares.

    Generally, a company can register a shelf offering up to three years in advance, meaning that it has that long to sell the shares. The company files a Form S-3, F-3, or F-6 to do this (the form depends on the type of security and the nature of the issuer). The issuer still has to file the quarterly, annual and other disclosures with the SEC even if it hasn't actually issued any securities under the shelf. If the three-year window is getting close to closing and the company hasn't sold all of the securities in the shelf registration, it can often file replacement registration statements to extend the offering.

    Shelf offerings can be delayed offerings or continuous offerings. In a continuous offering, the company is agreeing to make shares available for sale immediately (though it might not actually sell any immediately, and that is the company's choice); in a delayed offering, the company does not intend to make any shares available for sale until later in the three-year window. The information contained in the shelf offering statement varies depending on whether the offering is delayed or continuous and whether the issuer is already public. Regardless, most of the time the prospectus describes the type of security offered, a summary of the issuer's business, the use of proceeds, and the plan of distribution. Sometimes the issuer will provide a prospectus supplement with more detail.

    When the company actually issues shares registered under the shelf offering, we say the company is doing a "takedown."

    Form S-3 registration: In March 2015, the Company filed a “shelf registration statement” on Form F-3 with the Securities and Exchange Commission. Now that the Company reports as a domestic issuer, the F-3 registration statement is no longer



    effective, and therefore the Company today will file a new shelf registration statement on Form S-3. This will provide the Company with important financial flexibility for advancing its programs in the future. The Company has no immediate plans for any financing transaction.

    Dit jaar vliegt er weer ca 100 miljoen de deur uit en ze moeten ca 20 miljoen aan leningen aflossen.

    Dus ik verwacht een emissie tegen het eind van dit jaar; het zou immers heel dom zijn om te wachten tot het geld echt op is.

    Ik verwacht een samenwerkingsverband
    voor een programma dit jaar of begin volgend jaar. Als je luisterd naar de call van vorige week en als ik kijk naar de mensen die ze aannemen.

    On April 3, 2015, uniQure N.V. (the “Registrant”) filed a registration statement, Registration No. 333-202456 (the “Registration Statement”), relating to the registration of sales, from time to time pursuant to Rule 415 under the Securities Act of 1933, as amended (the “Securities Act”), of up to an aggregate of $250,000,000 of the Registrant’s debt securities, warrants, rights, purchase contracts, units and ordinary shares. On April 13, 2015, the Registrant filed a prospectus supplement to the Registration Statement pursuant to Rule 424(b)(5) by which the Registrant sold an aggregate amount of $88,500,000 in ordinary shares.

    As of January 1, 2017, the Registrant no longer qualified as a foreign private issuer under the rules and regulations of the U.S. Securities and Exchange Commission. As the Registrant is no longer a foreign private issuer, it is no longer eligible to offer securities via a Form F-3 registration statement. Therefore, this Post-Effective Amendment No. 1 is being filed in order to deregister the remaining aggregate amount of $161,500,000 debt securities, warrants, rights, purchase contracts, units and ordinary shares registered for sale under the Registration Statement.

    Zojuist live de webcast beluisterd van uniQure tijdens Oppenheimer 27th Annual Healthcare Conference. Inhoudelijk niks nieuws, maar Matt Kapusta heeft goed gepresenteerd. In juli en december kan een update Hem. B data worden verwacht. En tussentijds wat data over Huntington.

    De vraag is word het nog iets met UNIQURE ,als er een goede producten komen word het een top aandeel boven proporties,maar daar lijkt het nu niet op .Onze meeste trouwe aanhangers zijn al weg.....

    En ik ben helemaal de weg kwijt sinds de verdwijning van rationeel :) Ik overzie rustig de puinhopen terwijl ik een goed glas inschenk. Komt allemaal wel. Eerlijk gezegd, niet zo slecht dat alle hype er is uitgelopen.
