   AMSTERDAM (Dow Jones)--InnoConcepts wil middels een plaatsing van aandelen bij institutionele beleggers EUR25 miljoen ophalen. De opbrengst zal worden gebruikt voor de herfinanciering van de schuld, aldus het bedrijf donderdag voorbeurs.
   
   Zoals eerder aangekondigd, zal InnoConcepts eveneens 1,5 miljoen aandelen plaatsen bij KBC Private Equity. Dat was deel van een in juli aangekondigde transactie.
   
   Bij de presentatie van de halfjaarcijfers op 29 september zei het uitvindersconcern dat het I-Pac nu volledig in handen heeft. In juli nam het voor EUR37,9 miljoen het belang van KBC van 18,9% in I-Pac over voor EUR20 miljoen in contanten en de rest door uitgifte van ruim 1,5 miljoen nieuwe aandelen.
   
   InnoConcepts heeft nu een akkoord gesloten met 'een derde partij' om de resterende 1,4% van I-Pac in te lijven.

   • The proceeds of the equity offering will be used to refinance the indebtedness incurred by the acquisition of 20.3% of I-Pac and for general corporate purposes.
   • As announced earlier, InnoConcepts will also place 1,547,000 shares with KBC Private Equity as part of the purchase consideration for their shareholding in I-Pac.
   • InnoConcepts has mandated Rabo Securities to act as Sole Global Coordinator.
   On 19 July 2006, InnoConcepts N.V. (“InnoConcepts” or the “Company”) announced that it had reached agreement with KBC Private Equity N.V. (“KBC Private Equity”) on the acquisition of its 18.9% interest in I-Pac Technologies N.V. (“I-Pac”) for (i) 1,547,000 new ordinary shares in the capital of the Company with a nominal value of €0.01 each (the “Consideration Shares”) and (ii) a EUR 20 million cash consideration. On 26 September 2006, InnoConcepts reached an agreement to acquire the remaining 1.4% interest in I-Pac from several minority shareholders for a EUR 2.3 million cash consideration. Following these two transactions, InnoConcepts’ interest in I-Pac increased to 100%.
   Today the Company will offer new ordinary shares with a nominal value of €0.01 each in the capital of the Company (the "New Ordinary Shares") to raise gross proceeds of up to EUR 25 million to institutional investors through private placements in the Netherlands and elsewhere outside the United States (the "Offering"). Upon completion of the Offering, the Company will issue and place the Consideration Shares with KBC Private Equity (the "KBC PE Placing"). InnoConcepts has granted an Over-Allotment Option (as defined below) to the Sole Global Coordinator.
   In connection with the listing and admission to trading on Eurolist by Euronext Amsterdam N.V. (“Euronext Amsterdam”) of any ordinary shares placed in the Offering and the Consideration Shares placed in connection with the KPC PE Placing, the Company will publish a prospectus. The prospectus will be published subject to, and following, completion of the Offering.
   
   OFFERING
   Previously, InnoConcepts announced the acquisition of the remaining 20.3% of the issued share capital in I-Pac from KBC Private Equity and other shareholders. In connection with this acquisition InnoConcepts paid a total cash consideration of €22.3 million and agreed to issue and place the 1,547,000 Consideration Shares with KBC Private Equity. The net proceeds of the Offering will be used to finance the acquisition of all remaining outstanding ordinary shares in the capital of I-Pac Technologies and for general corporate purposes.
   The Company's ordinary shares of nominal value €0.01 each (the "Shares") are listed on Eurolist by Euronext Amsterdam and trade under the symbol "INNOC" and the ISIN code NL0000361145.
   The Offering comprises private placements to qualified institutional investors in The Netherlands and elsewhere outside the United States pursuant to Regulation S of the US Securities Act of 1933, as amended (the “Securities Act”). The Shares have not been and will not be registered under the Securities Act or under the securities laws of any state of the United States and, subject to certain exceptions, may not be offered or sold within the United States.
   Over-allotment option
   The Company will grant the Sole Global Coordinator an option, exercisable within 30 days after the First Trading Date (as defined below), pursuant to which the Sole Global Coordinator may require the Company to issue and place additional ordinary shares equal to 15% of the New Ordinary Shares that are initially placed in the Offering (the “Over-allotment Shares” and together with the New Ordinary Shares, the “Offer Shares”), solely to cover over-allotments, if any, in the Offering (the "Over-allotment Option").
   Subscription period
   The subscription period for the Offering starts on 12 October 2006, as of 09.00 CET and, barring unforeseen circumstances, is expected to close on the same date. The issue price and the total number of New Ordinary Shares of the Offering are expected to be announced on 12 October 2006. Allotment is expected to take place on 12 October 2006.
   Syndicate
   Rabo Securities is acting as Sole Global Coordinator and sole bookrunner of the Offering.
   Listing and settlement
   Application will be made to list the Offer Shares and the Consideration Shares on Euronext Amsterdam. It is expected that admission to trading of the New Shares on Euronext Amsterdam will commence on or about 13 October 2006, unforeseen circumstances excepted (the “First Trading Date”). Subject to acceleration or extension of the timetable for the Offering, payment for the New Ordinary Shares and the Over-allotment Shares, to the extent that the Over-allotment Option has been exercised prior to the First Trading Date, and delivery of the New Shares is expected to be made on or about 17 October 2006.
   InnoConcepts Lock-up
   The Company has agreed with the Sole Global Coordinator, subject to limited exceptions, not to, amongst other things, issue, agree to issue, offer, pledge, transfer, sell, contract to sell, sell any option or contract to purchase or otherwise transfer or dispose of, directly or indirectly, any Shares or any securities convertible into or exchangeable for Shares or enter into any swap or other agreement with the same economic effect or publicly announce any intention to do any such things, up to 90 days after the settlement date, without the prior consent of the Sole Global Coordinator.
   KBC Private Equity Lock-up
   KBC Private Equity has agreed not to, directly or indirectly, sell, transfer or dispose of any of the Consideration Shares until the earlier of (i) six months from the date of issue of the Consideration Shares, (ii) 31 May 2007, or (iii) such earlier time as may be agreed with the Sole Global Coordinator. For the six month period thereafter, KBC Private Equity has agreed to comply with certain orderly market provisions

   Goed en slecht nieuws vandaag bij uitvindersbedrijf InoConcepts. Het slechte nieuws is dat het bedrijf meer geld wil ophalen dan eerder ingeschat (klik hier). Het goede nieuws is dat de emissie (zoals verwacht) onderhands zal worden geplaatst bij institutionele beleggers.
   
   InnoConcepts heeft de afgelopen tijd in twee stapjes het belang in verpakkingsdochter I-Pac opgevoerd naar 100%. Dat kostte het bedrijf, naast al ruim 1,5 miljoen nieuw uitgegeven aandelen, € 22,3 miljoen. Aangezien de balans solide is, werd ingeschat dat het uitvindersbedrijf kon volstaan met een kapitaalbehoefte van € 15 miljoen. Helaas, directeur Van der Jagt heeft toch een voorzichtiger rekensommetje gemaakt en besloten maximaal voor € 25 miljoen op te halen. Dat betekent meer nieuwe aandelen, wat slecht nieuws is voor aandeelhouders.
   
   Het goede nieuws is dat de emissie onderhands zal worden geplaatst bij een aantal institutionele beleggers. Uiterst positief, want dat betekent meer aandacht voor de in Capelle aan de IJssel gevestigde onderneming. Bovendien duidt dit op interesse vanuit de institutionele hoek. Een beetje bedrijf peilt eerst de belangstelling, vóór daadwerkelijk een beroep te doen op de kapitaalmarkt. De maximale hoogte van de onderhandse emissie (€ 25 miljoen) duidt op gezonde interesse. Dat blijkt ook uit de inschrijvingstermijn: slechts één dag en wel vandaag.
   
   Beleggers lijken deze visie te onderschrijven. Ondanks de groter dan verwachte kapitaalbehoefte van InnoConcepts noteert het aandeel op het nieuws een plus van 1,5% vlak na opening. De mening over het aandeel verandert dan ook niet: beslist aantrekkelijk.

   Begrijp ik het nu goed dat er voor max 25 miljoen euro aan aandelen wordt geplaatst, MET de mogelijkheid om 15% extra te plaatsen als er overvraagt wordt?

    AMSTERDAM (Dow Jones)--De door Innoconcepts aangekondigde aandelenuitgifte komt niet als een verrassing, stelt analist Martijn den Drijver van SNS Securities. Hij stelt dat dit de balans van het bedrijf versterkt en de rentedruk verminderd, die de resultaten over het tweede halfjaar had kunnen drukken. Uitvindersconcern InnoConcepts geeft aandelen uit ter waarde van EUR25 miljoen om een overbruggingslening af te lossen. SNS handhaaft het buy advies en het koersdoel van EUR17.     AMSTERDAM (Dow Jones)--Innoconcepts heeft 2,066 miljoen nieuwe aandelen geplaatst tegen EUR12,10, waarmee het concern circa EUR25 miljoen ophaalt. Dit meldt het uitvindersbedrijf donderdag.
    
    De emissie volgt op de aankondiging van eerder vandaag, waarin het bedrijf zijn voornemen bekend maakte. De opbrengst zal worden gebruikt voor de herfinanciering van een overbruggingskrediet dat het bedrijf afsloot voor de aankoop van het belang dat KBC Private Equity hield in Ipaq.
    
    In juli nam het voor EUR37,9 miljoen het belang van KBC van 18,9% in I-Pac over. De overnamesom werd voor EUR20 miljoen in contanten voldaan en de rest door uitgifte van ruim 1,5 miljoen nieuwe aandelen.
    
    De aandelen die het aan KBC betaalt zijn nu ook uitgegeven.
    
    Rabo Securities heeft nog een optie, die het binnen dertig dagen moet uitoefenen, waarmee het 309.917 nieuwe aandelen Innoconcepts kan kopen.

    de koppenbedenker is volgens mij een fan(/adept) van de 'autistische' methode om met inno-geinteresseerden om te gaan die het bedrijf er zelf ook op nahoudt. Ik snap wel waarom iedereen die ooit interesse in inno had, uiteindelijk afhaakt.

    hahahahaha! Beste Pim, autistisch ben ik niet, daarentegen wel Inno belegger vanaf het eerste uur en nog altijd vol vertrouwen! Mijn stukken gaan er niet eerder uit dan 30 euro per aandeel, dat is mijn eerste koersdoel. Ik snap nog steeds niet dat er zoweinig aandacht is voor Innoconcepts, het is en blijft een pareltje in mijn ogen, dat nog niet ontdekt is door de meute, gaat ongetwijfeld snel gebeuren. 1 ding weet ik wel, ik heb ze, en wel vanaf een hele lage koers. Wie weet ontdekt Harry Mens ze ook een keer...hahahahaha!
