   Bij Saxo kan je inschrijven tm woensdag 20 nov om 23.00 uur. De “corporate events” zaken zijn daar tegenwoordig wel aardig geautomatiseerd, ze blokkeren direct je gebruikte claims en geven netjes aan wat de nieuwe aandelen gaan kosten. 6 dec zou betaling zijn, levering is mij onbekend. ABN is ouderwetse houtje-touwtje met dit soort events of bijv overname aanmeldingen, dan krijg je nog een brief en uitlevering aandelen gebeurt vaak een dag of wat later.

   Three weeks after the validation of its accelerated safeguard plan by the Nanterre specialized commercial court, Atos launched its capital increase on Thursday 14th for a gross amount, including issue premium, of 233.33 million euros. Should current shareholders participate? Some answers.

   To participate or not to participate in the capital increase? This is the question that Atos shareholders, who have already suffered a lot, must answer by November 25. Still in difficulty despite the validation by the Nanterre Commercial Court of its accelerated safeguard plan – providing for the conversion of €2.9 billion of receivables into shares, combined with liquidity in the form of new debt (€1.5 billion), and a capital increase of €233 million, guaranteed up to €175 million by creditors and bondholders – the former technology flagship is proposing to its shareholders to put their money back into the pot.
   Limit dilution?
   The transaction consists of a capital increase with preferential subscription rights (DPS), and Atos shareholders thus received one DPS per share held on the evening of November 13.
   They are then free to sell these DPS on the market or exercise them by November 21. If they opt for the second choice, shareholders can exchange 24 DPS for 13,497 new shares, at a unit price of €0.0037. "The implementation of this capital increase with DPS will result in significant dilution for existing shareholders," Atos has repeatedly pointed out in recent months. A dilution that current shareholders can somewhat limit by participating in the transaction, but is it worth it? Invest Securities analysts doubt it:
   "For current shareholders, the question of participating in the transaction is difficult to decide between massive dilution and uncertainty about the recovery trajectory.
   The participation of the new CEO in the operation nevertheless constitutes a positive signal," believes the analysis office. Appointed chairman of the board of directors on October 15, Philippe Salle will become CEO of Atos from February 1, 2025, and has committed to subscribing to the operation for 9 million. – QS
   
   Our advice
   Do not subscribe
   
   While participation in the transaction may help limit future dilution (a shareholder holding 1% of the capital before the capital increase would hold 0.2580% if participating pro rata at the end of the capital increase, and would see his share fall to 0.0018% of the capital if not participating), the outlook remains uncertain, and subscribing to the new shares therefore constitutes a (new) risky bet.
   Next meeting: November 25, end of the subscription period.

   De koers van Atos staat nog op een onbegrijpelijke 0,17. Over een week komen er 250 miljard aandelen bij die geplaatst zijn op 0,0037. De koers zal dus met 98% naar beneden gaan, een zekerheidje waar we verder niks mee kunnen.

   Ben benieuwd, maandag komen toch die nieuwe aandelen op de markt?
   
   Je zou dan verwachten dat vandaag in de slotveiling nog zoveel mogelijk "dure" aandelen verzilverd worden. Aan de andere kant kan ik me indenken dat velen zullen redeneren dat de te maken winst op de nieuwe aandelen ruim opweegt tegen het verlies op de oude aandelen.
   
   Als ATOS maandag een beurswaarde van "slechts" 3 miljard zou krijgen is een aandeel dus 1,2 cent waard dat is 3x dan wat je voor een nieuw aandeel betaalt.

   hier is de poen voor de te kopen aandelen via claims vanmiddag van de RC afgeboekt en
   het aantal claims is in porto verminderd tot gemeld aantal waar niets mee gedaan wordt .
   Daarnaast nog een aantal extra besteld ,
   verwacht gezien de animo voor claims , dat die wel binnen komen
   maar daar nog niets van gemerkt in saldo mutatie
   
   ik nam en neem aan dat die tegen dezelfde kortingprijs gaan van 0,0037 €
   
   allen bedankt voor gedeelde info , diverse AB’s gezet daarvoor ook .

    Het schijnt dat obligatiehouders met nog heel veel minder dan €0,0037 genoegen kunnen nemen.
    Als het zo opent als Orpea zit je alsnog met een mega verlies.
    
    Het oogt aantrekkelijk, maar het is een wilde gok.

    Omdat een door sommigen ooit gehoopte overname van Econocom door Atos er nu even niet in lijkt te zitten, is Econocom nu maar Econocom stilletjes aan het overnemen. De kleine aandeelhouders betalen mee en er is nog geen sprake van een overnamepremie. Wel van een steeds kleiner wordend beursfonds, met recente degradatie naar een kleinere index door de verder doelloze aandeleninkopen..
    
    Econocom was ook betrokken bij een "reddingspoging". Daarbij was de Joe Biden van Econocom eerst nog bescheiden, als derde en minst belangrijke partner, vervolgens bestempelde Joe Biden zichzelf als ware De Gaulle, daarna ging schuldengenie Joe Biden hoogstpersoonlijk Atos redden, en tenslotte werd deze hele "reddingspoging" een faliekante mislukking.
    
    Tot zover de voormalige overnameprooi van Atos én voormalige redder van Atos, Econocom; terug naar Atos...

    Impact of the sale of Advanced Computing on the current financial restructuring process and timetable
    
    The accelerated safeguard plan, approved by the classes of affected parties on 27 September 2024 and by the specialized commercial court of Nanterre on 24 October 2024, included the possibility of the disposal of the Group’s Advanced Computing activities. The forecasts presented in the accelerated safeguard plan, however, did not take this disposal into account considering the ongoing discussions.
    
    On the basis of an enterprise value of €500 million, the proposed transaction is expected to lead to a 2027 financial leverage2 of between 1.8x and 2.1x, depending on the outcome of the ongoing €233 million rights issue.
    
    The Company will file with the French Autorité des Marchés Financiers (the “AMF”) a supplement to the prospectus relating to the ongoing €233 million rights issue, approved by the AMF under number 24-474 on 7 November 2024:
    
    Investors who have already placed subscription orders will have the option of withdrawing them for two (2) trading days following the approval of the supplement by the AMF.
    The subscription period for the rights issue, which was supposed to close on 25 November 2024, will be extended, in accordance with the indicative timetable that will be included in the supplement.
    
    The indicative closing date of the financial restructuring transactions is still planned by year-end or early January 2025.
    
    The Company will continue to inform the market in due course of the next steps of its financial restructuring.
